These Terms of Service ("Terms") govern your access to and use of Krafto, a visual editor for React codebases developed and operated by Okto Labs LLP ("we," "our," or "us"), a limited liability partnership registered in England and Wales (Company Number OC458551, registered office at Stoney Works, 8 Stoney Lane, London, United Kingdom SE19 3BD).
By installing, accessing, or using Krafto, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
## 1. Definitions
- · "Service" — the Krafto visual editor and all related services, features, and functionality.
- · "CLI" — the Krafto command-line tool that installs into your repository and tags JSX elements.
- · "Agent" — the self-hosted Krafto agent (including its AI capabilities) that runs on your infrastructure and applies edits to source files.
- · "Editor" — the browser-based Krafto editor hosted by us.
- · "User" or "you" — any individual or entity using the Service.
- · "User Content" — any source code, prompts, designs, or information you process through the Service.
## 2. License to Use the Service
### 2.1 Grant of License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Editor for personal or commercial purposes.
### 2.2 Open-Source Components
The CLI and Agent are released under the Apache License 2.0. Your use of those components is governed by that license, in addition to these Terms where applicable.
### 2.3 License Restrictions
With respect to the Editor and any other proprietary parts of the Service, you may not:
- · Reverse engineer, decompile, or disassemble the Service
- · Remove, alter, or obscure any copyright, trademark, or other proprietary notices
- · Use the Service to create a competing product or service
- · Redistribute, sublicense, rent, lease, or loan the Service
- · Access the Service through automated means (bots, scrapers) except via official APIs
- · Attempt to gain unauthorized access to any portion of the Service
## 3. User Accounts
### 3.1 Account Registration
Some features of the Service may require you to create an account. You agree to:

## 4. User Content and Intellectual Property
### 4.1 Your Content
You retain all ownership rights to the source code, designs, data, and content you create or process through the Service ("User Content"). You are solely responsible for your User Content and the consequences of using or sharing it.
### 4.2 License to Us
By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to process and transmit your User Content solely for the purpose of providing and improving the Service — for example, to route an AI agent prompt to a model provider on your behalf and return the result. We do not claim ownership of your User Content and do not retain it beyond what is described in our Privacy Policy.
### 4.3 Our Intellectual Property
The Service, including the Editor and all proprietary software, features, functionality, and visual interfaces (excluding components released under open-source licenses), is owned by Okto Labs LLP and protected by intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.
## 5. Codebase Integration
### 5.1 Source File Access
The Krafto CLI and Agent require access to your source files to function. Both run on infrastructure you control; you decide where they execute and which files they can read or write.
### 5.2 Modifications to Your Code
By installing Krafto in your repository, you authorize the CLI and Agent to read and modify source files in the directories you point them at. All modifications are made to files on your machine and are tracked by your version control system.
### 5.3 No Hosted Code Storage
We do not store your source code on our servers. Codebase content stays on your infrastructure. The only code that leaves your machine is the limited context sent alongside AI agent prompts, as described in our Privacy Policy.
## 6. Edits and AI Agent
### 6.1 User Edits
You are solely responsible for all edits applied through the Service, whether made by hand or initiated through the AI agent. We are not liable for any consequences of those edits, including but not limited to broken builds, regressions, data loss, or unintended modifications.
### 6.2 AI Agent Outputs
The AI agent produces code suggestions and patches based on your prompts and the source context you provide. Outputs are provided "as is" without warranty of correctness, completeness, or fitness for purpose. You remain responsible for reviewing, testing, and accepting any change before committing or deploying it.
### 6.3 Usage Limits
We may impose limits on agent prompt volume, context size, or execution time to maintain service quality and prevent abuse.
## 7. Paid Plans and Payment
### 7.1 Paid Features
Certain advanced features may require a paid subscription. The features included in each plan are described on our website and within the Editor.
### 7.2 Pricing
Current pricing is displayed on our website and within the Editor. We reserve the right to modify pricing with 30 days' notice to existing subscribers.
### 7.3 Payment Processing
Payments are processed through Stripe, a third-party payment processor. You agree to comply with Stripe's terms of service. Stripe handles all payment information directly and is PCI-DSS compliant.
### 7.4 Billing
Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by law or as explicitly stated in these Terms.
### 7.5 Automatic Renewal
Paid plans automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time from your account settings.
### 7.6 Refund Policy

## 8. Service Availability and Modifications
### 8.1 Uptime
We strive to maintain high availability but do not guarantee uninterrupted or error-free service. The Editor may be temporarily unavailable for maintenance, updates, or due to factors beyond our control.
### 8.2 Service Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.
### 8.3 Updates
We may release updates to the CLI, Agent, and Editor. Some updates may be required for continued use of the Service.
## 9. Prohibited Uses
You agree not to use the Service to:

- · Transmit malicious code, viruses, or harmful software

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

- · Outputs from the AI agent will be correct, safe, or suitable for any particular use
- · Any errors in the Service will be corrected
## 13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OKTO LABS LLP SHALL NOT BE LIABLE FOR ANY:
- · INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- · LOSS OF PROFITS, REVENUE, DATA, OR USE
- · BUSINESS INTERRUPTION
- · LOSS OF GOODWILL OR REPUTATION
ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) £100 OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Okto Labs LLP, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

## 15. Termination
### 15.1 Termination by You
You may stop using the Service at any time. If you have a paid plan, cancellation will take effect at the end of your current billing period.

We may suspend or terminate your access to the Service immediately, without notice, for:

- · Suspected fraudulent, abusive, or illegal activity
- · Extended periods of inactivity
- · Any other reason at our sole discretion
### 15.3 Effect of Termination
Upon termination:
- · Your right to use the Editor immediately ceases
- · We may delete your account and User Content after 90 days
- · The open-source CLI and Agent remain usable under the Apache 2.0 license, independent of your account
- · Provisions that by their nature should survive termination will survive, including intellectual property rights, disclaimers, and limitations of liability
## 16. Dispute Resolution and Governing Law
### 16.1 Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
### 16.2 Jurisdiction
You agree to submit to the exclusive jurisdiction of the courts of England and Wales for any disputes arising from or related to these Terms or the Service.
### 16.3 Informal Resolution
Before filing a claim, you agree to contact us at legal@krafto.dev to attempt to resolve the dispute informally.
## 17. General Provisions
### 17.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable open-source licenses, constitute the entire agreement between you and Okto Labs LLP regarding the Service.
### 17.2 Amendments
We may modify these Terms at any time by posting updated Terms on our website or within the Editor. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. Material changes will be communicated via email or prominent notice within the Service.
### 17.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
### 17.4 Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
### 17.5 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
### 17.6 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, or network failures.
## 18. Export Compliance
You agree to comply with all applicable export and import laws and regulations. You may not use or export the Service in violation of UK, US, or other applicable export laws.
## 19. Children's Privacy
The Service is not intended for use by individuals under the age of 13. We do not knowingly collect personal information from children under 13. If you become aware that a child has provided us with personal information, please contact us.
